The FDA letter notes that it will not grant requests for exportation certificates to foreign governments or approve pre-market approval applications for Class III devices to which the quality system regulation deviations are reasonably related until the violations have been corrected. In exchange, Johnson & Johnson will invest $1B in Elan for an 18.4% stake in the drugmaker. Johnson & Johnson will initially commit up to $500M to continue the development and launch activities of bapineuzumab, Elan's experimental Alzheimer's treatment, as well as other compounds. The agreement provides for additional funding obligations of the parties if needed. Additionally, Johnson & Johnson, through this affiliate, will continue Elan's activities with Wyeth (WYE) under the AIP program. In exchange for this transaction, Elan will get a 49.9% equity interest in the newly formed Johnson & Johnson company that will acquire the AIP program. The boards of both companies have approved the deal and expect it to close in 2H09, pending approval from antitrust regulators.
